Section 25 of The Companies Act No. 17 of 2015: Registrar’s notice to comply in case of failure with respect to amended articles

    

(1) On being satisfied that a company has failed to comply with any provision
requiring it—
(a) to lodge with the Registrar a document making or evidencing an
amendment in the company's articles; or
(b) to lodge with the Registrar a copy of the company's articles as
amended,
the Registrar may give notice to the company requiring it to comply.
(2) The Registrar shall in such a notice—
(a) specify the date on which it is issued; and
(b) require the company to comply with the notice within twenty eight days
from that date.
(3) If a company fails to comply with a notice under subsection (2) within the
required period, the company, and each officer of the company who is in default,
commit an offence and on conviction are each liable to a fine not exceeding two
hundred thousand shillings.
(5) If, after a company or any of its officers is convicted of an offence under
subsection (4), the company continues to fail to comply with the notice, the
company, and each officer of the company who is in default, commit a further
offence on each day on which the failure continues and on conviction are each
liable to a fine not exceeding twenty thousand shillings for each such offence.
