Section 76 of The Companies Act No. 17 of 2015: Registrar to issue certificate of incorporation on registration of conversion

    

(1) The Registrar shall register the conversion of a company into a public
company if satisfied that the registration of application for registration complies with
the requirements of this Division.
(2) If the company does not already have a unique identifying number, the
Registrar shall allocate such a number to the company.
(3) The Registrar shall issue to the company a certificate of incorporation
stating the company’s unique identifying number and that the company is a public
company.
(4) The Registrar shall specify in the certificate of incorporation that the
certificate is issued on registration of the conversion and the date on which the
certificate is issued.
(5) The Registrar shall sign the certificate of incorporation and authenticate it
with the Registrar's official seal.
(6) On the issue of the certificate of incorporation—
(a) the conversion of the company into a public company takes effect;
(b) the changes in the company's name and articles take effect; and
(c) if the application contained a statement complying with section 75,
the person or persons named in the statement as secretary or joint
secretary of the company assume that office.
(7) The certificate of incorporation is conclusive evidence that the requirements
of this Act as to conversion of the company into a public company have been
complied with.
