Section 80 of The Companies Act No. 17 of 2015: Requirements for registration of conversion of public company into private company
The Registrar may not register the conversion of a public company as a private
limited company unless the application for registration—
(a) contains a statement of the company's new name on conversion; and
(b) is accompanied by—
(i) a copy of the resolution converting the company into a private
limited company, unless a copy has already been forwarded to
the Registrar; and
(ii) a copy of the company’s articles as proposed to be amended.
