Section 297 of The Companies Act No. 17 of 2015: Representation of bodies corporate at general meetings

    

(1) If a body corporate is a member of a company, it may, by resolution of its directors or other governing body, authorise a person or persons to act as its representative or representatives at a meeting of the company.
(2) If the body corporate authorises only one person to act as its representative at a meeting of the company, that person is entitled to exercise the same powers on behalf of the body as the body could exercise if it were a natural person who is a member of the company.
(3) If the body corporate authorises two or more persons to act as its representatives at a meeting of the company, any one of them is entitled to exercise the same powers on behalf of the body as the body could exercise if it were a natural person who is a member of the company.
(4) If the body corporate authorises two or more persons to act as its representatives at a meeting of the company and more than one of them purports to exercise a power under subsection (3)—
(a) they purport to exercise the power in the same way—power is taken to be exercised in that way; and
(b) if they do not purport to exercise the power in the same way—power is taken not to be exercised.
