Section 497 of The Companies Act No. 17 of 2015: Registration of transfer of shares and debentures

    

(1) A company may register a transfer of shares in or debentures of thecompany only if a proper document of transfer has been delivered to it.
(2) Except as provided by subsection (3), a purported registration of a transferof shares or debentures in contravention of subsection (1) is void.
(3) Subsection (1) does not affect a power of the company to register as a shareholder or debenture holder a person to whom the right to any shares in or debentures of the company has been transmitted by operation of law.
