Section 824 of The Companies Act No. 17 of 2015: Offences against this Part committed by bodies corporate

    

(1) If an offence under this Part is committed by a body corporate, each officer of the body who is in default also commits an offence and on conviction is liable to a fine not exceeding that which could be imposed on the body if it had been convicted of the offence.
(2) An officer of a body corporate may be prosecuted for an offence undersubsection (1) whether or not the body is prosecuted for the related offence.
(3) For the purpose of this section, any person who purports to act as a director, manager or secretary of the body is taken to be an officer of the body.
