Section 982 of The Companies Act No. 17 of 2015: Particulars of places of businesses of registered foreign companies to be notified to Registrar

    

(1) A registered foreign company shall not carry on business at a place in Kenya unless the company has lodged with the Registrar for registration a notice containing the prescribed particulars of that place.
(2) A registered foreign company does not contravene subsection (1) in respect of a place of business if particulars of the place of business were included in the company's application for registration.
(3) Within twenty-one days after closing a place of business in Kenya, a registered foreign company shall lodge with the Registrar for registration a notice containing the prescribed particulars of the closure.
(4) A registered foreign company that does not carry on business at a place of business of the company for a continuous period of six months is taken to have closed it.
(5) If a registered foreign company fails to comply with subsection (1) or (3),the company, and each officer of the company who is in default, commit an offence and on conviction are each liable to a fine not exceeding five hundred thousand shillings.
(6) If, after a registered foreign company or an officer of the company is convicted of an offence under subsection (5), the company continues to fail to lodge the requisite notice with the Registrar for registration, the company, and each officer of the company who is in default, commit a further offence on each day on which the contravention continues and on conviction are each liable to a fine not exceeding fifty thousand shillings for each such offence.
