Section 503 of Insolvency Act CAP 53: Offence to make false representations to creditors of company in liquidation

    

(1) This section applies to a company that is in liquidation, whether voluntary or by the Court.
(2) An officer or former officer of the company commits an offence if—
(a) the officer or former officer makes a false representation; or
(b) does any other fraudulent act, for the purpose of obtaining the consent of the company's creditors or any of them to an agreement relating to the company's affairs or to the liquidation.
(3) An officer or former officer of the company is also to be taken to have committed an offence under subsection (2) if, before the commencement of the liquidation, the officer or former officer— (a) made any false representation; or
(b) did any other fraudulent act, for the purpose of obtaining that consent.
(4) An officer or former officer who is found guilty of an offence under this section is liable on conviction to a fine not exceeding two million shillings and to imprisonment for a term not exceeding five years, or to both.
