Section 22 of Partnerships Act 16 of 2012: Unlimited liability of partners

    

(1) A partner who has unlimited liability is personally liable for the whole amount of any obligation incurred by the partnership while he is a partner where—
(a) a judgment, order or arbitral award has been made against the partnership in the same or earlier proceedings, establishing the amount of the partnership obligation; or
(b) the Court has ordered the partnership to make payment in respect of the partnership obligation.
(2) A partner is not liable under subsection (1) for a partnership obligation owed to a co-partner or former partner if the partnership agreement or any other agreement to which the partner and co-partner or former partner are parties provides otherwise.
(3) Subsection (1) shall not affect the liability of the partnership for the partnership obligation.
(4) If a partner pays an amount to discharge the whole or a part of his personal liability for a partnership obligation, the partnership obligation is discharged to the extent of the amount paid by the partner.
(5) If a partnership obligation is—
(a) discharged in whole or in part; or
(b) otherwise reduced or extinguished;
the personal liability of any partner for that partnership obligation is discharged or reduced to the same extent.
(6) A partnership obligation which arises as a result of— (a) a breach of a duty in tort;
(b) a breach of trust; or
(c) a breach of a fiduciary duty,
is taken to have been incurred at the time the act or omission gave rise to the breach.
